(1) Orient Paint Colour and Varnish Co Ltd (Agents Butterfield and Swire)

(2) Hwa Kwang Industrial Co Ltd

That (1) agree to transfer to (2), out of their own free will, all their properties in China consisting of:

a) Their paint factory at 514 Tengyueh Road, with all machinery and buildings

b) All lease and mortgage rights

c) All machinery and equipment

d) All raw materials

e) All equipment and furniture, internal and external

f) All cash and credits

g) All charts, records and documents

That (2) agree to take upon all debts, staff, liabilities etc of (1)
